Proceeds
The net proceeds of the offering will be used to indirectly redeem the redeemable partnership units issued to certain Transferors in connection with the Acquisition, redeem some of the Class B LP Units issued to certain Transferors and repay the Transferor Notes. The REIT will, directly or indirectly, use the remaining portion of the proceeds of the Offering to pay fees and expenses incurred by it and Dilawri in connection with the Offering and the Acquisition, and to provide a small amount of working capital for the REIT.
